Terms of Service

These Terms of Service ("Terms") govern your access to and use of the WickScan website at wickscan.net, the WickScan browser extensions, mobile applications, APIs, and related services (collectively, the "Service") operated by WickScan ("we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms, including the arbitration provision and class action waiver in Section 16. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you meet this age requirement, have the legal capacity to enter into these Terms, and are not prohibited from using the Service under the laws of your jurisdiction. You are responsible for ensuring that your use of the Service — including any trading activity you undertake — is lawful where you live.

2. Account Registration

To access certain features, you must create an account using an email address or a third-party sign-in provider (e.g., Google). You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use.

Accounts are personal to you. You may not share an account, sell or transfer an account, or create multiple accounts to obtain additional free usage or circumvent any limit of the Service. We may suspend or terminate accounts that we reasonably believe were created or used to evade usage limits or these Terms.

3. Description of Service

WickScan provides AI-powered chart pattern recognition and technical analysis tools for educational and informational purposes. Users can upload chart images — via the website, browser extension, or mobile app — and receive automated, machine-generated analysis identifying potential technical patterns, support/resistance levels, and trade considerations.

The Service is under continuous development. We may add, modify, replace, or remove features, analysis engines, AI models, output formats, and usage limits at any time, with or without notice. We do not guarantee that any particular feature, model, or level of output quality will remain available.

4. No Financial Advice; No Advisory Relationship

The Service is provided for educational and informational purposes only. Nothing on WickScan constitutes financial advice, investment advice, trading advice, tax advice, or any other form of professional advice, and nothing on WickScan is an offer, solicitation, or recommendation to buy or sell any security, commodity, derivative, digital asset, or other financial instrument.

WickScan is not a broker-dealer, investment adviser, commodity trading advisor, financial planner, or fiduciary, and is not registered with the U.S. Securities and Exchange Commission, the Commodity Futures Trading Commission, FINRA, the NFA, or any other financial regulatory authority in any jurisdiction. No fiduciary, advisory, or professional relationship is created by your use of the Service. Any output of the Service — including entries, stop losses, take profits, risk/reward figures, "setups," watch plans, scores, or commentary of any kind — is impersonal, automated content that is not tailored to your financial situation, objectives, or risk tolerance.

Trading and investing involve substantial risk of loss, including the possible loss of all capital. Leveraged products (such as futures, options, forex, CFDs, and margined crypto) can produce losses exceeding your deposit. You are solely responsible for your own trading and investment decisions and for evaluating any output of the Service before acting on it. Consult a licensed financial professional before making financial decisions.

5. AI-Generated Content; Accuracy

The Service's analysis is generated by artificial intelligence models and automated algorithms. AI-generated output can be — and sometimes is — incomplete, inaccurate, or wrong. The Service may misread tickers, prices, axis scales, timeframes, or patterns in an uploaded image; may identify patterns that are not present; and may fail to identify patterns that are. Confidence indicators, engine names, consensus displays, and similar presentation elements describe how the analysis was produced and are not a measure of predictive accuracy.

Past pattern recognition and any displayed historical outcomes do not guarantee future results. Any performance figures are hypothetical, are derived from automated analysis rather than actual trading, and have inherent limitations. We make no representation or warranty regarding the accuracy, completeness, timeliness, or reliability of any output of the Service, and you agree not to rely on any output as a basis for financial decisions.

To operate the Service efficiently, analysis results for an identical chart image may be served from a cache, including a cache shared across users. Cached results may not reflect current market conditions.

6. Subscription Plans & Payments

6.1 Free Tier

We offer WickFree, a free plan with no credit card required. The free plan is subject to usage limits (including limits on the total number of scans available to an account), which we may set, adjust, and enforce at our discretion and without individual notice.

6.2 Paid Plans & Add-Ons

Paid subscription plans (currently WickPro, WickElite, and WickAlpha) provide additional features and higher usage limits, and are available on monthly or, for some plans, annual billing. We may also offer paid add-ons (such as usage boosts or scan packs). Current pricing is displayed on our pricing page and at checkout and is subject to change with notice; price changes take effect at your next renewal.

6.3 Billing & Auto-Renewal

Paid subscriptions are billed in advance on a recurring basis (monthly or annually, as selected) through our payment processor, Stripe, and renew automatically until canceled. By subscribing, you authorize us to charge your payment method on each billing cycle. All fees are in U.S. dollars unless otherwise stated at checkout, are exclusive of any applicable taxes, and you are responsible for any taxes we are required to collect.

6.4 Promotional Pricing

We may offer time-limited promotional pricing (for example, discounted "founder" rates locked for the life of a subscription). Promotional rates apply only to the specific subscription for which they were granted, remain in effect only while that subscription stays continuously active, and are permanently lost if the subscription is canceled, lapses for non-payment, or is terminated for violation of these Terms. Promotions may be modified or withdrawn for new customers at any time. Promotional eligibility rules (such as new-customer-only restrictions) are enforced at our discretion.

6.5 Upgrades & Downgrades

You may upgrade your plan at any time. Upgrades take effect immediately and any price difference is prorated and charged to your payment method. Downgrades take effect at the end of the current billing period.

6.6 Cancellation; Refunds; Chargebacks

You may cancel your subscription at any time through your account settings. Upon cancellation, you retain access to paid features until the end of your current billing period. Except where required by applicable law, all payments are final and non-refundable, including for partial billing periods, unused scans or usage allowances, and periods during which you did not use the Service.

If you believe you were billed in error, contact us before disputing the charge with your bank or card issuer. We may suspend or terminate accounts that initiate chargebacks on validly incurred charges, and we reserve the right to recover amounts owed, including reasonable costs of collection.

7. Usage Limits & Fair Use

All plans — free and paid — are subject to usage limits (such as scan volume, feature access, and rate limits) designed to keep the Service available and economically sustainable. Limits may be enforced automatically and without displaying counters or individual notice. We may adjust limits, throttle, queue, or decline requests, or take other protective measures where usage is abusive, automated, anomalous, or inconsistent with ordinary personal use. Attempting to circumvent limits (including by creating multiple accounts, sharing accounts or API keys, or automating requests) is a material breach of these Terms.

8. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws
• Upload malicious files, viruses, or harmful content, or content you do not have the right to upload
• Upload images containing other people's personal, confidential, or account information
• Attempt to gain unauthorized access to the Service, its systems, or other users' accounts or data
• Reverse-engineer, decompile, or disassemble any part of the Service, or probe or test its vulnerabilities without authorization
• Use automated tools (bots, scrapers, scripts) to access the Service or submit scans without our permission
• Create multiple accounts or use other means to circumvent usage limits or promotional eligibility rules
• Resell, redistribute, sublicense, or provide the Service or its outputs to third parties as a service, including repackaging outputs as trading signals, advice, or a competing product
• Use the Service or its outputs to provide financial advice to others
• Use the Service's outputs to train or improve a competing machine-learning model or dataset
• Interfere with or disrupt the integrity or performance of the Service
• Misrepresent your identity or impersonate another person

9. API Access & Browser Extension

If we issue you API keys, they are personal to your account, may not be shared, published, or transferred, and may be revoked or rate-limited by us at any time. You are responsible for all usage under your keys. API access is provided for your own use of the Service and is subject to the same usage limits and acceptable-use rules as the rest of the Service.

The WickScan browser extension captures a screenshot of the chart you are viewing only when you trigger a scan, and transmits it to our servers for analysis. You are responsible for ensuring that your use of the extension complies with the terms of service of any third-party platform (such as a charting site, broker, or exchange) on which you use it, and that you have the right to submit the captured content for analysis.

10. Your Content; License to Us

You retain ownership of the chart images you upload. By uploading content, you grant us a worldwide, non-exclusive, royalty-free license to host, store, cache, reproduce, process, analyze, and display that content and the analysis derived from it as needed to operate, provide, secure, and improve the Service — including transmitting it to the third-party AI providers that perform the analysis, storing it to provide your scan history, and using it in de-identified or aggregated form to evaluate and improve analysis quality. You represent that you have all rights necessary to upload the content and grant this license.

11. Intellectual Property

The Service, including its design, features, code, content, analysis engines, brand names (including WickScan, WickFree, WickPro, WickElite, and WickAlpha), logos, and trademarks, is owned by WickScan and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works from any part of the Service without our prior written consent. Analysis outputs are provided for your personal, non-commercial use.

12. Third-Party Services

The Service relies on and interoperates with third-party services, including payment processing (Stripe), AI model providers, market data providers, and embedded charting widgets. Market data and quotes shown in the Service may be delayed, incomplete, or inaccurate and are provided for convenience only. References to any broker, exchange, or platform do not constitute an endorsement. Your use of any third-party service is governed by that party's own terms, and we are not responsible for third-party services or their availability.

13. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, THAT ANY ANALYSIS OR OTHER OUTPUT WILL BE ACCURATE, COMPLETE, OR RELIABLE, OR THAT ANY DEFECT WILL BE CORRECTED.

14. Assumption of Risk; Limitation of Liability

YOU ACKNOWLEDGE THAT TRADING AND INVESTING INVOLVE SUBSTANTIAL RISK OF LOSS AND THAT ANY DECISION TO TRADE BASED IN WHOLE OR IN PART ON OUTPUT OF THE SERVICE IS MADE SOLELY AT YOUR OWN RISK. WE ARE NOT LIABLE FOR ANY TRADING OR INVESTMENT LOSSES YOU INCUR, REGARDLESS OF WHETHER SERVICE OUTPUT WAS INACCURATE, INCOMPLETE, DELAYED, OR UNAVAILABLE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WICKSCAN AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR TRADING LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU; IN THAT CASE OUR LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.

15. Indemnification

You agree to indemnify, defend, and hold harmless WickScan and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your trading or investment activity, content you upload, your violation of these Terms, or your violation of any law or the rights of another party.

16. Dispute Resolution; Arbitration; Class Action Waiver

Before filing a claim, you agree to first contact us at support@wickscan.net and attempt in good faith to resolve the dispute informally for at least thirty (30) days.

Except for small-claims matters and claims for injunctive relief relating to intellectual property or unauthorized access, any dispute arising out of or relating to these Terms or the Service shall be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. YOU AND WICKSCAN EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR OTHER REPRESENTATIVE PROCEEDING. Claims must be brought within one (1) year after the claim arises, or the shortest period permitted by applicable law if longer.

You may opt out of this arbitration agreement by emailing support@wickscan.net within thirty (30) days of first accepting these Terms, stating your account email and your intent to opt out.

17. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice — including for violations of these Terms, abuse of usage limits, chargebacks, fraud, or conduct that harms the Service or other users. Upon termination, your right to use the Service ceases immediately and any unused usage allowances are forfeited without refund. Sections that by their nature should survive termination (including Sections 4, 5, 11, and 14 through 19) will survive.

18. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Nevada, United States, without regard to conflict of law principles. Subject to Section 16, any claims not subject to arbitration shall be brought exclusively in the state or federal courts located in Clark County, Nevada, and you consent to their jurisdiction.

19. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date, and may additionally notify you by email or in-app notice. Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms.

20. Miscellaneous

These Terms, together with our Privacy Policy, are the entire agreement between you and WickScan regarding the Service. If any provision is found unenforceable, the remaining provisions remain in full effect. Our failure to enforce any provision is not a waiver. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets.
